On January 10, 2011, DuPont announced that it had entered into a definitive agreement for the acquisition of Danisco, a global enzyme and specialty food ingredients company, for $5.8 billion in cash and assumption of $500 million of Danisco net debt. Cravath represented JPMorgan and Goldman, Sachs & Co. as arrangers of credit facilities to provide financing for the acquisition. Cravath also represented JPMorgan and Goldman, Sachs & Co. as financial advisors to DuPont in connection with the transaction, which is expected to close early in the second quarter of 2011.
