International law firm Simmons and Simmons has supported Henderson Global Investors in the context of the formation of TIAA Henderson Real Estate, a USD22.6bn (GBP13.6bn) joint venture between Henderson Global Investors and TIAA-CREF launched 1 April 2014.
The new joint venture, TIAA Henderson Real Estate, consists of TIAA-CREF's European real estate arm and Henderson Global Investor's European and Asia Pacific-based real estate businesses. The new business will be headquartered in London. At the same time, TIAA-CREF has completed the acquisition of Henderson's North American property business for GBP2.6bn.
The Simmons and Simmons Frankfurt and Dusseldorf offices were involved in the transaction and advised on regulatory as well as corporate aspects of the transfer of shares in Warburg-Henderson Kapitalanlagegesellschaft fur Immobilien mbH, a company jointly held by Henderson and M.M. Warburg and CO Kommanditgesellschaft auf Aktien, to the newly established TIAA Henderson joint venture structure.
